This Agreement made by and between ABC Emergency, Inc at 2251 Barry Avenue, Los Angeles, CA 90064,
hereinafter called "ABC Emergency" and you, an Independent Service Provider (hereinafter called "ISP"). The
parties to this Agreement agree as follows:

1. Dispatch. ABC Emergency shall contact and dispatch ISP to perform service calls for customers of ABC Emergency ("Customers") with vehicles who are in need of certain services of ISP (the "Services"). Upon receipt of a dispatch call from ABC Emergency, ISP shall furnish ABC Emergency with an estimated time of arrival (ETA") to the location of the Customer in need of Services. ISP agrees that it shall use its best efforts to arrive at the Customer location within the given ETA. If there are any changes to the ETA, the ISP will update ABC Emergency with the change as soon as possible. ISP agrees to be available to accept ABC Emergency' dispatches during its hours of operation as listed on the provider application form completed by ISP, which form is incorporated into this Agreement by reference, and shall inform ABC Emergency of any changes in its hours of operation as soon as possible

2. Provision of Services. ISP shall be solely responsible for the provision of Services to Customers. ISP shall provide
the Services in a safe and professional manner, consistent with industry standards and agrees to comply with all
applicable laws and regulations. ISP shall be solely responsible for determining the proper equipment and methods
for providing the Services. ISP shall be solely responsible for any personal injury or property damage resulting from
ISP's provision of the Services.

3. Rate Schedule. ISP will be compensated by ABC Emergency directly for Services rendered to Customers as stated
in the rate schedule made available to ISP by ABC Emergency ("Rate Schedule") and which Rate Schedule is
incorporated into this Agreement by reference. ISP agrees that it will not directly charge Customers any fee, accept
direct payment, inform Customers of any amounts it would have directly charged Customers or issue any invoice to
Customers for Services without Honk Technologies' express prior approval in each instance and that ABC Emergency may deduct from any monies due ISP any amount that ISP directly charges a Customer without ABC Emergency express prior approval. On some occasions, Customers may require Services other than or in excess of those listed in the Rate Schedule. In such instances, ISP agrees that it shall call ABC Emergency at (800) 979-3162 to obtain express prior approval. Honk Technologies shall not have any obligation to pay for such non-covered or excess Services or attempt to collect payment for such Services from Customers on the ISP's behalf if express prior
approval was not sought and granted.

4. Reimbursement Policy. ABC Emergency will issue payment to ISP in accordance with the Rate Schedule for
Services provided to Customers that have been preauthorized by ABC Emergency. Subject to the other terms
of this Agreement, ABC Emergency will pay ISP within two business days of when ISP has confirmed that it has
provided the Services to a Customer. ABC Emergency reserves the right to deduct from any payment to ISP,
any and all monies ISP owes ABC Emergency or a Customer. ABC Emergency shall not be obligated to pay
ISP for any Services provided to a Customer and/or that were not preauthorized by Honk Technologies.

5. Mileage Calculation. Upon providing the Services, ISP agrees to provide ABC Emergency with the drop-off/destination address and any other information reasonably requested. ABC Emergency will compensate ISP based on ABC Emergency' mileage calculation. If a dispute arises between the ISP's mileage and ABC Emergency' mileage calculation, the parties will attempt to resolve the issue in good faith.
